Agreement to Terms

By accessing or using SmartLoanScan ("Service," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all users of the Service, including notaries, signing agents, and any other individuals or entities who access or use the Service.

Description of Service

SmartLoanScan provides AI-powered analysis of loan signing documents to help notaries identify potential errors, missing signatures, incorrect dates, and other issues before leaving signing appointments. The Service includes:

• Document upload and analysis (full analysis and Quick Check modes)
• Error detection and reporting
• Signature and seal verification
• Page-by-page breakdown of required actions
• Offline document queuing and automatic sync
• Usage tracking and subscription management

Account Registration

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

You may not share your account with others or allow others to access the Service using your credentials.

Subscription Plans and Billing

Free Trial

We offer a 7-day free trial for new users. To activate your trial, you must provide valid payment information. If you do not cancel before the trial ends, you will automatically be charged for your selected subscription plan.

Subscription Tiers

• Basic Plan ($59/month): Up to 10,000 pages per month
• Unlimited Plan ($99/month): Unlimited page analysis

Billing and Payment

• Subscriptions are billed monthly in advance
• All payments are processed securely through Stripe
• Prices are subject to change with 30 days' notice
• You are responsible for all applicable taxes
• Failed payments may result in service suspension

Usage Limits

Basic Plan users are limited to 10,000 pages per month. If you exceed this limit, you will be prompted to upgrade to the Unlimited Plan. Unused pages do not roll over to the next billing cycle.

Cancellation and Refunds

• You may cancel your subscription at any time from your account settings
• Cancellations take effect at the end of the current billing period
• No refunds are provided for partial months or unused services
• You will retain access to the Service until the end of your paid period
• Trial cancellations before the trial ends will not incur any charges

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Upload documents that you do not have the right to analyze
• Use the Service to violate any applicable laws or regulations
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful content
• Impersonate others or misrepresent your affiliation
• Resell or redistribute the Service without authorization
• Use the Service in a way that could damage our reputation

Document Handling and Privacy

Important: You are responsible for ensuring you have the right to upload and analyze documents using our Service.

• All uploaded PDF files are automatically deleted within minutes after analysis
• We retain only analysis results (detected errors, locations), not the original documents
• You retain all ownership rights to your documents
• We do not use your documents to train AI models or for any purpose other than providing the Service

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• The Service will detect all errors in your documents
• Any errors in the Service will be corrected

You are solely responsible for reviewing all documents and ensuring their accuracy before completing signings. Our Service is a tool to assist you, not a replacement for professional judgment.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTLOANSCAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

This includes, but is not limited to, damages resulting from:

• Errors or omissions in document analysis
• Missed signatures or errors not detected by the Service
• Return trips or additional costs incurred due to document errors
• Loss of business, revenue, or professional reputation
• Service interruptions or data loss
• Unauthorized access to your account

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless SmartLoanScan, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your uploading of documents you do not have the right to analyze

Intellectual Property

The Service and its original content, features, and functionality are owned by SmartLoanScan and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• Abuse of the Service or other users

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to protect intellectual property rights.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SmartLoanScan regarding the Service and supersede all prior agreements and understandings.
